These Terms & Conditions ("Terms") govern your access to and use of the Vinometrics mobile app and related services (the "Service"). The Service is offered only to users located in the United States. By using the Service, you agree to these Terms.

To the maximum extent permitted by law, we are not liable for indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill arising from your use of the Service.

You agree to indemnify and hold us harmless from claims arising out of your use of the Service or violation of these Terms.

11) Termination

We may suspend or terminate access to the Service if you violate these Terms or if required to protect the Service, users, or third parties.

12) Dispute resolution and arbitration

Please read this section carefully. It affects your rights, including your right to file a lawsuit in court and to have claims decided by a judge or jury. It also includes a class action waiver.

12.1 Informal resolution

Before starting arbitration or a court proceeding, you agree to first contact us at support@winewingman.com and provide a brief written description of your issue and your contact information. The parties will attempt in good faith to resolve the dispute for at least 30 days.

12.2 Agreement to arbitrate

Except for the exceptions in Section 12.4, you and Vinometrics agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service (including its marketing, access controls, or subscriptions) will be resolved by binding arbitration on an individual basis, rather than in court.

12.3 Class action waiver

You and Vinometrics agree that each may bring claims against the other only in an individual capacity, and not as a plaintiff or class member in any purported class, collective, representative, or private attorney general proceeding. The arbitrator may not consolidate more than one person’s claims and may not otherwise preside over any form of representative or class proceeding.

12.5 Arbitration rules, location, and fees

Arbitration will be administered by a reputable arbitration provider under its applicable consumer arbitration rules. The arbitration may be conducted by video, phone, or based on written submissions, unless an in-person hearing is required by the arbitrator. The seat (legal place) of arbitration will be Delaware, unless prohibited by applicable law. Payment of filing, administration, and arbitrator fees will be governed by the provider’s rules, and we will not seek to recover our attorneys’ fees from you unless the arbitrator determines your claim is frivolous.

12.6 Severability

If any part of this Section 12 is found unenforceable, the remainder will remain in effect. If the class action waiver in Section 12.3 is found unenforceable, then this entire arbitration section (Section 12) will be null and void.

12.7 Time limit to bring claims

To the maximum extent permitted by applicable law, any claim or cause of action arising out of or relating to these Terms or the Service must be filed within one (1) year after the claim arose; otherwise, the claim is permanently barred.

13) Governing law and venue

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. To the extent a dispute is permitted to be brought in court (for example, under Section 12.4 or if arbitration is unenforceable), and unless prohibited by applicable law, you agree that any such dispute will be brought exclusively in the state or federal courts located in Delaware, and you consent to personal jurisdiction in those courts.

We may update these Terms from time to time. We will update the “Last updated” date and, where appropriate, provide additional notice.
